While the shareholders are “only” owners of a GmbH, the managing director is responsible for more operational activities. However, resolutions concerning the assets and development of the company are taken by the shareholders at a joint general meeting. The same applies to the appointment and removal of the managing director as well as his employment contract.

While at Ein-Mann-GmbH the shareholder is also managing director, the management of larger companies regularly takes over an external employee or minority shareholder.
